Terms of Service

These Terms of Service ("Terms") govern your access to and use of the roitrack website, the customer portal at account.roitrack.app, the roitrack software, and the license validation service (together, the "Service") provided by Daniil Kosolapov, an individual trading as "roitrack" ("roitrack", "we", "us"). By creating an account, purchasing a subscription, or installing the roitrack software, you agree to these Terms.
1. The Service
roitrack is self-hosted ad tracking software. You install it on infrastructure you own or control (a VPS). We operate a license validation service that your install contacts periodically to confirm your subscription is active. We do not host your tracker data, your campaigns, your click logs, or your conversion records — those live on your own server.
The Service is intended for use by businesses, professionals, and sole traders in the course of their commercial activity. It is not marketed to consumers acting outside their trade or profession.
2. License grant
Subject to your compliance with these Terms and a valid, active subscription, we grant you a non-exclusive, non-transferable, revocable license to install and run one (1) instance of the roitrack software per license key. The license is pinned to the first server IP that successfully validates it; you may re-pin to a different IP through the customer portal when migrating servers. Running one license key on multiple servers simultaneously is not permitted.
3. Subscription, billing, and renewals
- Billing cadence. Subscriptions renew monthly on the anniversary of your first payment. Renewals are charged automatically to the payment method on file.
- Payment processor. Payments are handled by our merchant of record, Creem. Their terms and privacy policy apply to card processing.
- Failed payments. If a renewal charge fails, your license remains active until the current period ends. We will email you once per cycle asking you to update your card via the Creem billing portal. If the card is not updated by the end of the period, the license expires.
- Cancellation. You may cancel at any time through the Creem billing portal linked from your customer portal. Cancellation takes effect at the end of the current billing period; your license remains active until then.
- Refunds. Because roitrack is a digital, self-hosted product delivered immediately on purchase, we do not offer refunds by default. If you believe you have grounds for a refund, contact support@roitrack.app and we will consider it in good faith.
- EU withdrawal waiver. By purchasing a subscription and accessing the Service before the 14-day withdrawal period ends, you expressly consent to immediate performance and acknowledge that you lose your statutory right of withdrawal under EU consumer law once we have begun providing the Service.
- Taxes. Creem, as our merchant of record, collects and remits any applicable sales tax, VAT, or GST at checkout on your behalf. You are responsible for any additional local taxes not collected by Creem. As the seller, roitrack is responsible for its own income tax obligations in its country of tax residence.
- Price changes. We may change subscription prices with at least 30 days' notice by email. Existing subscribers keep their current price until the change takes effect at their next renewal.
4. Acceptable use
You agree not to use the Service or the roitrack software to:
- Track or promote content that is illegal in your jurisdiction or in the jurisdictions of the users you're tracking, including but not limited to fraudulent schemes, child sexual abuse material (CSAM), malware distribution, or content that infringes intellectual property.
- Send, distribute, or attribute traffic that is prohibited by applicable advertising standards or platform terms (e.g. click-fraud schemes, botnet-driven inflation).
- Attempt to bypass the license validation or unpin/rotate license keys other than through the mechanisms we provide.
- Reverse-engineer, redistribute, resell, or sublicense the roitrack software.
- Use the Service in a way that damages, overloads, or impairs our infrastructure or the infrastructure of our processors.
Serious or repeated violations may result in immediate suspension or termination of your license without refund.
5. Your data and content
All data collected or processed by the roitrack software you run — clicks, conversions, campaign configuration, uploaded landers, visitor data — stays on your server. You are the data controller for that data and are solely responsible for complying with any laws (privacy, consumer protection, advertising standards) applicable to how you use it. We are not a processor of that data.
6. Software updates
We provide software updates through the roitrack update system. Access to updates requires an active license. If your license lapses, existing installs continue to run their current version but do not receive new updates until the license is renewed.
7. Ownership
roitrack (including its source code, design, trademarks, and documentation) is and remains the property of Daniil Kosolapov, an individual trading as "roitrack". These Terms grant you a license to use the Service, not any ownership rights.
8. Warranty disclaimer
The Service and the roitrack software are provided "as is" and "as available", without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities.
9. Limitation of liability
To the maximum extent permitted by law, in no event will Daniil Kosolapov, an individual trading as "roitrack", its officers, or its contractors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) EUR 100.
10. Indemnity
You agree to indemnify and hold harmless Daniil Kosolapov, an individual trading as "roitrack" from any claim, demand, or damages, including reasonable legal fees, arising from your violation of these Terms or your use of the Service in a manner not permitted by these Terms.
11. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, if a payment fails and is not remedied, or if we are legally required to do so. You may terminate at any time by cancelling your subscription. On termination, your license to run the roitrack software ends; you may keep any data you have collected.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to registered customers and take effect no earlier than 30 days after notice. Continued use after that date constitutes acceptance.
13. Governing law and jurisdiction
These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. Any dispute arising out of or in connection with these Terms will be brought exclusively before the competent courts of Vietnam, unless a mandatory consumer protection law in your country of residence requires otherwise.
